Terms of Service

1. Introduction

These terms govern your use of the Ticker API developer portal at developers.ticker.app and the Ticker API itself (together, the “Service”). The Service is provided by IR Data Services Ltd, a company registered in England (company number 12744939, VAT number GB356936458).

By creating an account or using the Service, you agree to these terms. If you don’t agree, please don’t use the Service.

2. Your Account

You must be at least 18 years old to use the Service. You’re responsible for keeping your account credentials and API key secure. Treat your API key like a password — don’t commit it to source control, share it, or expose it in client-side code. One account per person; we may suspend duplicates.

3. The Service

The Ticker API provides programmatic access to financial data for London Stock Exchange listed instruments, including regulatory news (RNS) and company information. We act as an authorised redistributor of London Stock Exchange data.

The Service is provided on an “as available” basis. We may update, modify, or discontinue API endpoints with reasonable notice. We’ll do our best to communicate changes in advance, but we can’t guarantee that every change will be backwards-compatible.

4. Subscriptions & Billing

We offer a free tier and paid subscription plans. Current plans and pricing are shown on our pricing page. All prices are in GBP and include VAT.

Individual subscription plans are licensed for your personal use only: your own investment research, analysis, and management of your own portfolio. The data you receive through the Service is owned by our upstream data providers and licensed to us under terms that restrict how it may be used downstream. These restrictions apply to you as an Individual subscriber.

The restrictions above apply regardless of how recent or delayed the data is, and regardless of the form it takes after processing.

You may use the data and any outputs you compute from it for your own personal analysis. That includes running queries against your own archive, backtesting your own strategies, generating alerts for your own portfolio, and displaying it in tools you use yourself and that no other person has access to.

If you need to use the data for any commercial activity, or to make data or derived outputs available to any other person, you will need a professional or enterprise agreement. Contact us at sales@ticker.app.

Breach of these restrictions may result in immediate termination of your account without refund, and may expose you to claims from our upstream data providers.

7. Data Accuracy & Disclaimers

Our data is sourced from the London Stock Exchange, FactSet, and other third-party providers. We provide it on a best-efforts basis and do not guarantee its accuracy, completeness, or timeliness.

The data is for informational purposes only and does not constitute financial advice. Nothing in the Service is a recommendation to buy, sell, or hold any security. You are solely responsible for your own investment decisions and should conduct your own research before acting on any information obtained through the Service.

The API, its documentation, and the data delivered through it are owned by IR Data Services Ltd and/or its licensors (including the London Stock Exchange and FactSet). Your subscription grants you a limited, personal, non-transferable, non-exclusive licence to access and use the data within the scope of these terms. All rights not expressly granted are reserved.

10. Limitation of Liability

You’re responsible for any decisions you make using the Service or the data it delivers. We don’t accept liability for losses arising from investment, trading, or financial decisions, or for indirect or consequential losses, loss of profits, business, opportunity, or data, or for losses arising from inaccuracy, delay, interruption, or unavailability of the Service.

Where any liability does remain with us, our total aggregate liability for all claims arising in any 12-month period is capped at the greater of £100 and the fees you paid us during that period.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded under English law. Your statutory rights as a consumer under the Consumer Rights Act 2015 are not affected.

11. Service Availability

We aim for high availability but do not guarantee a specific uptime percentage for individual subscription plans. Scheduled maintenance, third-party service outages, and events beyond our reasonable control may cause interruptions. We will not be liable for any unavailability caused by factors outside our reasonable control.

12. Changes to These Terms

We may update these terms from time to time. We’ll notify you of material changes by email or through the Service with reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by English law. Any disputes will be subject to the non-exclusive jurisdiction of the courts of England and Wales.
