Terms of Service

1. Introduction
These terms govern your use of the Ticker API developer portal at developers.ticker.app and the Ticker API itself (together, the “Service”). The Service is provided by IR Data Services Ltd, a company registered in England (company number 05582339, VAT number GB888531475).
By creating an account or using the Service, you agree to these terms. If you don’t agree, please don’t use the Service.
2. Your Account
You must be at least 18 years old to use the Service. You’re responsible for keeping your account credentials and API key secure. Treat your API key like a password — don’t commit it to source control, share it, or expose it in client-side code. One account per person; we may suspend duplicates.
3. The Service
The Ticker API provides programmatic access to financial data for London Stock Exchange listed instruments, including regulatory news (RNS), price data, and company information. We act as an authorised redistributor of London Stock Exchange data.
The Service is provided on an “as available” basis. We may update, modify, or discontinue API endpoints with reasonable notice. We’ll do our best to communicate changes in advance, but we can’t guarantee that every change will be backwards-compatible.
4. Subscriptions & Billing
We offer a free tier and paid subscription plans. Current plans and pricing are shown on our pricing page. All prices are in GBP and include VAT.
- Free tier: No credit card required. Subject to usage limits (rate limits and weekly quotas).
- Paid plans: Billed monthly by credit or debit card via Stripe. Your billing cycle starts on the day you subscribe and renews on the same date each month.
- Upgrades: Take effect immediately. You’ll be charged a prorated amount for the remainder of your current billing period.
- Downgrades: Take effect at the end of your current billing period. You keep your current plan until then.
- Price changes: We may change plan prices with at least 30 days’ written notice. Your next renewal after the notice period will be at the new price.
5. Cancellation & Refunds
Cooling-off period: Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have a 14-day cooling-off period from the date you first subscribe to a paid plan. If you cancel within this period, you’ll receive a full refund. By subscribing, you consent to the Service being provided immediately, and you acknowledge that you’ll still receive a full refund within the cooling-off period.
After the cooling-off period: You can cancel your subscription at any time from your console. Your plan remains active until the end of the current billing period. We don’t offer partial refunds for unused time.
Free tier: You can stop using the Service at any time. There’s nothing to cancel.
Suspension by us: We may suspend or terminate your account if you breach these terms. In the case of serious or repeated breach, we may do so without notice.
6. Data Usage Restrictions
Individual subscription plans are for your personal use only — specifically, your own investment research and analysis. You must not:
- Redistribute, republish, resell, or share any data obtained through the Service
- Display data on any website, application, or service, whether public or private
- Create derivative data products or datasets from the data
- Provide data to third parties in any form
If you need to redistribute or display data, you’ll need a professional/enterprise agreement — contact us at api@irdata.co.uk.
Breach of these restrictions may result in immediate termination of your account without refund.
7. Data Accuracy & Disclaimers
Our data is sourced from the London Stock Exchange, FactSet, and other third-party providers. We provide it on a best-efforts basis and do not guarantee its accuracy, completeness, or timeliness. Stock prices are delayed by at least 15 minutes unless you are a real-time data subscriber.
The data is for informational purposes only and does not constitute financial advice. Nothing in the Service is a recommendation to buy, sell, or hold any security. You are solely responsible for your own investment decisions and should conduct your own research before acting on any information obtained through the Service.
8. Acceptable Use
You agree to:
- Comply with the rate limits and weekly quotas for your plan
- Not attempt to circumvent rate limits, quotas, or other usage restrictions
- Not reverse engineer, scrape, or systematically download data beyond your plan’s intended use
- Not use the Service for any unlawful purpose
- Not share your API key with others
9. Intellectual Property
The API, its documentation, and the data delivered through it are owned by IR Data Services Ltd and/or its licensors (including the London Stock Exchange and FactSet). Your subscription grants you a limited, personal, non-transferable, non-exclusive licence to access and use the data within the scope of these terms. All rights not expressly granted are reserved.
10. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any losses arising from investment decisions made using our data.
- We are not liable for indirect or consequential loss, loss of profits, or loss of data.
- Our total liability to you in any 12-month period is limited to the amount you paid us in fees during that period.
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under English law. Your statutory rights as a consumer under the Consumer Rights Act 2015 are not affected.
11. Service Availability
We aim for high availability but do not guarantee a specific uptime percentage for individual subscription plans. Scheduled maintenance, third-party service outages, and events beyond our reasonable control may cause interruptions. We will not be liable for any unavailability caused by factors outside our reasonable control.
12. Changes to These Terms
We may update these terms from time to time. We’ll notify you of material changes by email or through the Service with reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
13. Governing Law
These terms are governed by English law. Any disputes will be subject to the non-exclusive jurisdiction of the courts of England and Wales.
